    Terms and Conditions

    This page sets out the terms and conditions for all users of this website (as defined below). Please read these terms and conditions carefully before using this website and/ or ordering any Products (as defined below) from this website as they contain important information about your rights and obligations.  These terms and conditions are the only terms upon which we (as defined below) are prepared to deal with a purchaser of Products through this website and they shall govern the contract arising from any order made through this website that is accepted by us to the entire exclusion of all other terms or conditions.  If you do not wish to be bound by these terms and condition then please do not use this website or place an order for any Products using this website.

    1. Definitions

    “Products” means any goods displayed on this website for purchase by you through this website;

    “terms and conditions” means these terms and conditions;

    "we” or “us" or “our” means  Scottish Midland Cooperative Society Limited, a company registered in Scotland under the Industrial & Provident Societies Acts (Company Number SP2059RS) and having its registered office at Hillwood House, 2 Harvest Drive, Newbridge, EH28 8QJ and trading as Semichem; 
    "this website" means the whole or any part of the website controlled or operated by us and located atwww.Semichem.co.uk or any subsequent URL which may replace it; and
    "you" or “your” means a party that visits and/ or uses this website.

    2. Purchasing Products

    2.1 To order any Products using this website you will need to follow the ordering procedures accessible from our Customer Service page.

    2.2 When you place an order for Products on this website to purchase Products from us to be delivered to you, we will send you an e-mail, to the e-mail address included in your registration with this website, confirming receipt of your order which will contain the details of your order. Your order to purchase Products represents an offer from you to us to purchase Products which, notwithstanding the taking of payment from you by us, is only accepted by us to form a contract between you and us when we send to you a further e.mail confirming that we have accepted your order, this e.mail is in addition to your e.mail confirming receipt of your order and it will be your “Order Confirmation”. In the event that we take payment from you before the contract with us is formed and thereafter we do not accept your offer and/ or do not issue an Order Confirmation to you, we shall make a full refund of your payment to you as soon as possible but in any case within 14 days. Any Products on the same order from you to us which we have not confirmed in an Order Confirmation do not form part of that contract. 

    2.3 We retain the right to refuse to accept your order solely at our discretion.  If we are concerned that you are attempting to place an order dishonestly, fraudulently, by impersonating someone else or that you are attempting to use payment details which have been stolen we will make additional checks as to your standing and if appropriate involve external authorities. 

    2.4 We verify the prices included in your order to us as part of our processing procedures so that, where Products are incorrectly priced on this website we may, at our discretion, either contact you for your instructions in relation to your order or reject your order and notify you of such rejection.   No prices for Products purchased through this website are accepted by us unless and until such prices are confirmed in an Order Confirmation issued to you.  The prices for Products on this website are all inclusive of applicable taxes and exclusive of delivery costs.     2.5 Any times or dates stated on this website for delivery are estimates only. We will make all reasonable effort to deliver goods within the time specified in the Order Confirmation, but we do not accept liability for any failure to deliver within that time.

    2.6 Order cut-off for all delivery services is 2pm. Orders placed after 2pm will be treated, for the purpose of delivery, as having been placed the next working day. Local bank holidays are excluded as working days.

    2.7 You must pay by a valid credit or debit card acceptable to us at the time of placing your order with us for Products.  

    2.8 By placing an order for Products with us using this website, you undertake to us: (i) that all details you provide to us for such purpose are accurate and correct; (ii) that the credit or debit card, or any electronic cash, which you use to make payment for such order is your own, you are legally entitled to use it and that there are sufficient funds or credit facilities available to cover the cost of such Products. 

    2.9 Staff discount may be available from time to time.  These discounts will be communicated across the business as and when they occur.  Staff discount will only be valid where the billing address given for the order is the same as the employee’s home address.  All other standard staff discount rules apply.

    2.10 Our prices, products and offers are exclusive to Semichem.co.uk and may differ from our prices, products and offers available in store.

     

    3. Returns


    3.1 Subject to the exclusions contained in paragraphs 3.2 and 3.3 below, If you are contracting with us as a consumer online you have the right to either withdraw or cancel your contract.

    You can withdraw from the contract if your offer to purchase goods has not been accepted by Semichem. This is an open-ended right that will end when a contract is made.

    You can cancel all or part of your contract at any time up to 14 calendar days after the day on which you receive the goods you ordered. If the contract consists of an order for multiple goods which are delivered on different days then you can cancel the contract up to 14 days after the day on which you come into physical possession of the last of the goods.

    3.2 All Products purchased by you through this website are supplied by us to you as goods for your use and they are not provided to you as testers. Your right to cancel any online purchase of Products as set out under paragraph 3.1 above gives you an opportunity to receive and examine such Products as you would in the event of an in store purchase; however due to the nature of some of the Products once they are used or applied by you, we will consider such Products as appropriated by you and, subject to paragraph 3.4 below, to the fullest extent permitted by law the following categories of Products are excluded from paragraph 3.1 once you have applied or permitted the application of any such Products to any object, including (but not limited to) to yourself or a third party:

    - Cosmetics applied directly to the body including eye, lip, face and nail products

    - Contraception, Pregnancy Testing Kits and sexually enhancing products

    3.3 You will lose your right to cancel the contract if you either

    - Unseal goods that are not suitable for return if they are unsealed, due to health protection or hygiene reasons or

    -  unseal audio, video recordings or computer software that were sealed at the time of delivery.

    We will consider such products as appropriated by you and, subject to paragraph 3.4 below, to the fullest extent permitted by law such products are excluded from paragraph 3.1 once you have removed and/ or damaged such seals.

    3.4 Nothing in these terms and conditions, including without limitation paragraphs 3.2 and 3.3 above, affects your statutory rights.

    3.5 Any refunds made by us to you will be made using the same payment method originally used. The delivery charge will be included in your refund once we have received all (not part) of your order to the specified address below. Please note the delivery charge refund will be to the value of standard delivery. Semichem will process your refund with 14 days of either receipt of the products, to the specified address or proof that you have sent the goods back.  You must take reasonable care of the goods while in your possession. You are advised to ensure that you keep some durable proof of of your cancellation and can use the model cancellation form provided.

    3.6 You must not delay the return your faulty, damaged or unwanted goods to us, and should send them back within 14 days of when you informed us of your decision to cancel. If you refuse to return the goods to us we will actively pursue the collection of the goods and will charge you for the direct cost of recovering the goods. You are responsible for the cost of returning the goods to us. We will not be responsible for any loss or damage to goods in transit.  We reserve the right to charge you (or not to refund any amounts attributable to) such loss or damage.

    3.7 Semichem retains the right to deduct an amount from the reimbursement if you have diminished the value of the goods by handling them beyond what is reasonably necessary to establish their nature, characteristics and function.

    4. Updates

    4.1 We reserve the right to make changes or corrections, alter, suspend or discontinue any aspect, element or content (or any part thereof) of this website or the Products available for purchase through it. Unless explicitly stated to the contrary, any new features including new content and/or the sale of new Products and/ or the release of new software tools or resources shall be subject to these terms and conditions.

    4.2 Please note that although we try to ensure that the content of our website is accurate, our website may contain typographical errors or other inaccuracies and we make no warranty in respect of this website or its availability or the content (including the accuracy of such content or any part thereof), functionality and/ or performance of this website.

    5. Information you provide to us

    5.1 The following applies to any information you provide to us through this website, for example during any registration or ordering process.

    (a)        You authorise us to use, store or otherwise process any personal information which relates to and identifies you, including but not limited to, your name and address, to the extent reasonably necessary for us, our lawful successors or assignees and/ or sub-contractors to perform any contract we have with you and/ or to provide to you any Products you purchase through this website. 

    (b)        If you obtain or choose to buy Products through this website then we may collect information about your buying behaviour and if you send us personal correspondence such as emails or letters or post reviews or other messages on the bulletin boards or in the chat areas then we may collect this information into a file specific to you (together, the various purposes set out in this paragraph and in our Privacy Policy (shall be known as ‘the Purposes’). All such information collected by us shall be referred to in these terms and conditions as ”Personal Information”.

    (c)        You must ensure that the Personal Information you provide to us is your own or at your free lawful disposal and it at all times accurate, correct and complete and that all ordering or registration details (where applicable) contain your correct name, address and other requested details.     5.2 By accepting these terms and conditions, you agree to the processing of the Personal Information for the Purposes. If you would like to review or modify any part of your Personal Information then you should contact us at our Customer Service Center.

    5.3 In addition to paragraphs 5.1 and 5.2, the following also applies to all messages, emails, bulletin boards postings, ideas, suggestions, concepts or other material submitted by you to us through this website for use by use on this website (”Content”):

    (a)        you must own and/ or have the right to submit the Content and any part thereof for  publication on this website and all Content submitted by you must be legal, honest, decent and truthful and comply with all applicable laws, regulations, standards and/or codes of practice and you warrant to us by submitting any such Content for such purpose that it shall not infringe any copyright, trade mark rights, design rights, moral rights, data protection rights, right of privacy, confidentiality or any other right of any third party, or be defamatory, blasphemous or obscene or in contempt of court or in contravention of the Official Secrets legislation;

    5.5 You warrant and undertake that you will not use this website for any purpose that is illegal or prohibited by these terms and conditions. We retain the right to deny access to any person who fails to comply with these terms and conditions.

    You are solely responsible in all respects for all use of and for protecting the confidentiality of any username, email verification and password that may be given to you or selected by you for use on this website. You may not share these with or transfer them to any third parties and you must notify Semichem immediately of any unauthorised use of any of the foregoing and/ or any other breach of security regarding this website of which you become aware.

    7.1 Unless otherwise specified all content and materials published on this website are available to you solely for your own private, personal and non-commercial use.

    7.2 This website is controlled and operated by us from our offices in Scotland. Where content published on this website is supplied by third parties and indicated as such, you understand that we do not control or endorse such content or any part thereof in any way whatsoever. All content on this website that is supplied by third parties and indicated as such, is published in good faith but we do not (to the extent permitted by applicable law) accept responsibility for the accuracy or otherwise of such content or any part thereof or the use of such content or any part thereof by you or any third party, except, and only to the extent, that any such content relates directly to Products you purchase through this website. You assume total responsibility and risk for your use of our website and use of all information contained within it.

    7.3 We have used our best endeavors to ensure that our website complies with UK laws. Nothing in these General Terms and Conditions will affect these legal rights and, in particular, we will perform our obligations under these General Terms and Conditions with reasonable care and skill.

    11.5 Any products we supply to you will be of satisfactory quality. If we deliver a product to you that is not of satisfactory quality, you can contact us for a repair or replacement or, where this is not possible, for a refund.

    11.6 We are only responsible for losses that are a natural, foreseeable consequence of our breach of these General Terms and Conditions. We will not be liable to you if we are prevented or delayed from complying with our obligations under these General Terms and Conditions by anything you (or anyone acting on your behalf) does or fails to do or due to events which are beyond our reasonable control.

    11.7 You must follow any advice we give you to keep products we supply to you safe (including any instructions or product manuals provided with the products). We cannot accept liability for damage to products we have supplied which is caused by your failure to follow this advice.

    11.8 In any event we will not be liable for any losses related to any business of yours including (without limitation) lost data, lost profits, lost revenues or business interruption.

    12.1 These terms and conditions are personal to you and are accepted by you as legal binding for your own benefit and performance and not for the benefit of any third party.

    12.2 We may alter, revise, replace and/ or amend these terms and conditions or any part thereof from time to time and following which all use of this website by you will be governed by and subject to any such alterations, revisions, replacements and/ or amendments. It is your responsibility to  check these terms and conditions on this website regularly so that you are aware of any alterations, revisions, replacements and/ or amendments that we may make from time to time.

    12.3 If any provision or term of these terms and conditions shall become or be declared illegal, invalid or unenforceable for any reason whatsoever, such term or provision shall be divisible from the other terms and conditions and shall be deemed to be deleted from them.

    12.4 These terms and conditions and your use of this website shall be governed by Scottish law and by purchasing Products through this website you submit to the non-exclusive jurisdiction of the Scottish courts.

    12.5 These terms and conditions do not confer any rights on any person or party (other than you and/or us) pursuant to the Contracts (Rights of Third Parties) Act 1999 (if found to be applicable to these terms and conditions and/ or the contract between you and us).

    14. Replacement

    These terms and conditions replace all other terms and conditions previously applicable to the use of this website and/or sale of Products through this website.

    The privacy of our customers and any users of our website is important to us and we take care to safeguard it. This policy explains how we use your personal information. 

    Any information that you provide about yourself to us will be treated by us in accordance with the Data Protection Act 1998. 

    We do not pass personal information about our customers to third parties unless we have obtained their permission to do so.

    Security Policy 
    We use Sage Pay payment gateway to process your payment. Please note this payment process is hosted on Sage Pay’s servers for added security and protection for your payment details.

    Sage Pay provides very high levels of internet and physical security to ensure sensitive information is never compromised. Including 256 bit encryption

    Sensitive information is stored on a heavily encrypted database that is protected by multiple government-approved firewalls.

    Orders can be paid for by Credit or Debit Card (Mastercard, Visa, Visa Debit, Visa Electron, Switch/Maestro), or PayPal.

    15. Promotions

    15.1 All promotions where an “up to x%” message across a range of products applies, at least 10% of the range is available at the advertised percentage saving price. The products within these promotions are subject to change at any time without notice and limited stock applies.

    15.2 Semichem reserves the right to withdraw, restrict use of promotional codes, and restrict use of promotional codes in conjunction with one another. Promotinal codes can not be applied after purchase.

    16. Competitions

    General Competition Terms and Conditions

    16.1 The prize must be accepted as offered, is non-transferable and there are no cash alternatives. The prize must be claimed within 28 days of offering and will be fulfilled within 4 weeks of claim.

    16.2 Semichem reserves the right to substitute prizes of equal or greater value at any time.

    16.3 Semichem reserves the right to substitute prizes of equal or greater value at any time.

    16.4 The winner consents to allow Semichem to use their name and likeness for advertising and publicity purposes without any additional remuneration.

    16.5 By entering the competition you agree to receive future email communications from Semichem. We will not pass your details to any third parties. You may unsubscribe from these communications at any time.

    16.6 Entrants will be deemed to have accepted these terms and conditions and agreed to be bound by them when entering this competition.

     

    17. EASTER10 Voucher

    17.1 The code 'EASTER10'  entitles the customer to 10% off the value of goods in their basket, it does not apply to shipping costs.

    17.2  The code is valid from 18/03/2015 to 07/04/2015, is limited to two uses per customer and can not be used in conjunction with any other offer.

    17.3 The code must be used before completing the transaction, the dicount will not be applied to any completed transactions.

    17.4 To enter the code go to the 'View Basket & Checkout' page and enter the code into the 'Enter promotional code' field.
